I. Introduction and Eligibility

These Terms of Use ("Terms") apply to LIGHTHOUSE health platforms and any other related features, contents, applications, or websites we may offer from time to time (collectively, the "LIGHTHOUSE Services"). Please read these Terms carefully before using LIGHTHOUSE Services.

These Terms include LIGHTHOUSE's Privacy Statement, which is incorporated by reference into these Terms. This agreement is a legally binding contract. It may change as our business changes, and you agree you will review it and any updates regularly. Your continued use of the LIGHTHOUSE Services means you accept any changes.

Binding Agreement

These Terms constitute a binding agreement between you and LIGHTHOUSE, Inc. ("LIGHTHOUSE," "we," "us"). "You" and "users" shall mean all visitors and users of the LIGHTHOUSE Services. You accept these Terms each time you access the LIGHTHOUSE Services. If you do not accept these Terms, you must not use the LIGHTHOUSE Services.

Eligibility

The LIGHTHOUSE Services are intended solely for persons who are 13 years of age or older who are residents of the United States. Any access to or use of the LIGHTHOUSE Services by anyone under age 13 or anyone who is not a resident of the United States is expressly prohibited. By accessing or using the LIGHTHOUSE Services, you represent and warrant that you are 13 years old or older and resident of the United States. Further, if you are under 18 years of age, you represent and agree that you possess the legal consent of your parent or guardian to access and use the LIGHTHOUSE Service.

Revision to Terms

We may revise these Terms at any time by posting an updated version. You should visit this page periodically to review the most current Terms, because you are bound by them if you use the LIGHTHOUSE Services.

II. The LIGHTHOUSE Services

The "LIGHTHOUSE Services" means any websites, applications, and other services under the control of LIGHTHOUSE, whether partial or otherwise, in connection with providing an online or digital platform to enable patients to manage their own health records and collaborate with their care team.

Medical Advice

LIGHTHOUSE does not give medical advice. The LIGHTHOUSE Services may help you organize your health records and provide helpful content, but any information and materials available through the LIGHTHOUSE Services are for informational and educational purposes only and are not intended to constitute professional advice, diagnosis or treatment. The LIGHTHOUSE Services are not a substitute for professional medical treatment. Always seek the advice of your physician or other qualified health care provider regarding a medical condition.

Permission to Use the LIGHTHOUSE Services

We grant you permission to use the LIGHTHOUSE Services subject to the restrictions in these Terms. Your use of the LIGHTHOUSE Services is at your own risk, including the risk that content that you or others contribute to your health record is inaccurate or unreliable or that your records may be misused or misappropriated by someone with whom you provide access.

III. Your Account

Account Registration

In order to use the LIGHTHOUSE Services, you must register to create a LIGHTHOUSE account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Your Login Credentials

Your login information and account is personal to you, and you may not share your account information with, or allow access to your account by, any third party. You are responsible for safeguarding your password. You agree to notify us immediately of any breach in secrecy of your login credentials at support@LIGHTHOUSE247.com.

Sharing Records with Third Parties

If you wish to provide access to your health records or invite a third party to collaborate in your health care management, you may invite them through the LIGHTHOUSE Services in your account, but any third party must create their own LIGHTHOUSE account. If you are using the LIGHTHOUSE Services as part of a chronic care management service through a healthcare provider, you acknowledge that such healthcare provider may share chronic care management related Records with your other healthcare providers as authorized by the HIPAA-compliant authorization you must sign with that healthcare provider.

IV. Communications

You agree that we may communicate or provide notices to you by email, through banner notices, push notifications, in-app messages, or through other means including telephone, mobile number, or mailing address you choose to provide to us.

You agree to keep any contact information you provide to us up to date. You may adjust your communications preferences in your LIGHTHOUSE account settings at any time.

Electronic Notices

By using the LIGHTHOUSE Services or providing Personal Information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues. To receive free written notice of a security breach (or to withdraw your consent from receiving electronic notice), please write to us at privacy@LIGHTHOUSE247.com.

V. Ownership and Use of Records

Records

We do not claim ownership rights in the health information, text, files, data, images, photos, video, sounds, links, works of authorship, or any other materials that you, or third parties with your authorization, post to or share via the LIGHTHOUSE Services (collectively, "Records"). By posting or requesting Records through the LIGHTHOUSE Services, you certify that you have the right to post or request such Records.

You are responsible for backing up any Records that you store on the LIGHTHOUSE Services. If you close your LIGHTHOUSE account or if we terminate your account, we may permanently delete your data from our servers.

LIGHTHOUSE Content Ownership

All LIGHTHOUSE Content and the compilation of all LIGHTHOUSE Content are the property of LIGHTHOUSE or its licensors and are protected under copyright, trademark, and other laws.

License Granted By You to LIGHTHOUSE

By making available any Records on or through the LIGHTHOUSE Services, you grant to LIGHTHOUSE a perpetual, non-exclusive license to use such Records (a) to provide the LIGHTHOUSE Services to you; (b) for statistical use (provided that such Records are not personally identifiable); and (c) as necessary to monitor and improve the LIGHTHOUSE Services.

License Granted by LIGHTHOUSE to You

We authorize you, subject to these Terms, to access and use the LIGHTHOUSE Services and the LIGHTHOUSE Content solely for your personal and non-commercial purposes. This license is revocable at any time without notice and with or without cause.

VI. Copyright Policy

The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. Notices and counter-notices with respect to the LIGHTHOUSE Services should be sent to:

VII. Payment for Certain LIGHTHOUSE Services

Certain LIGHTHOUSE Services may be available for a single-time fee or subscription payments. If you register for such LIGHTHOUSE Services, you are responsible for providing a valid credit card number at the time of registration. All charges are exclusive of sales or other taxes, and you are responsible for payment of any applicable taxes. LIGHTHOUSE reserves the right to modify or terminate any LIGHTHOUSE Services, change prices, or institute new charges at any time with reasonable advance notice to you.

VIII. Suggestions and Submissions

If you send us creative ideas, suggestions, inventions, or materials ("creative ideas"), we shall own exclusively all now known or later discovered rights to the creative ideas, shall not be subject to any obligation of confidentiality, and shall be entitled to unrestricted use of the creative ideas for any purpose whatsoever, without compensation to you or any other person.

IX. Disclaimers, Limitations, and Prohibitions

We do not represent or guarantee the truthfulness, accuracy, or reliability of any content or Records posted by you or any other third party. You are solely responsible for the Records you post.

You agree to use the LIGHTHOUSE Services only for their intended purposes. The following uses are prohibited:

• Attempt to interfere with, harm, reverse engineer, steal from, or gain unauthorized access to the LIGHTHOUSE Services
• Frame or link to the LIGHTHOUSE Services without permission
• Use data mining, robots, or other data gathering devices
• Post incomplete, false, or misleading information, or impersonate another person
• Post or disclose Personal Information about another person without their consent
• Harass, threaten, stalk, abuse, or post objectionable content
• Sell, transfer, or assign any of your rights to use the LIGHTHOUSE Services without our written consent
• Use the LIGHTHOUSE Services for any commercial purpose not permitted by these Terms
• Use the LIGHTHOUSE Services in an illegal way

X. Account Termination

We reserve the right to suspend or terminate your account and prevent access to the LIGHTHOUSE Services for any reason, at our discretion. LIGHTHOUSE may review and remove any Records at any time for any reason. You are responsible for any claims, fees, fines, penalties, and other liability incurred by us or others caused by your breach of these Terms.

XI. LIGHTHOUSE's Liability

We may change, suspend, or discontinue any aspect of the LIGHTHOUSE Services at any time, without notice or liability. We are not responsible for any disputes between you and any third party you interact with using the LIGHTHOUSE Services.

"Released Parties" include LIGHTHOUSE Medical Group LLC, LIGHTHOUSE, Inc., and their affiliates, officers, employees, agents, partners, and licensors.

Disclaimer of Warranties

Your use of the LIGHTHOUSE Services is at your sole risk, and the LIGHTHOUSE Services are provided on an "as is" and "as available" basis. The Released Parties expressly disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

The Released Parties shall not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages. To the fullest extent possible by law, the Released Parties' maximum liability arising out of or in connection with the LIGHTHOUSE Services will not exceed $100.

You agree to defend, indemnify, and hold harmless the Released Parties from and against any claims, actions, or demands arising out of your use of or reliance on any content, or your breach of these Terms.

XII. General Terms

These Terms constitute the entire agreement between you and LIGHTHOUSE concerning your use of the LIGHTHOUSE Services. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the other provisions remain in full force and effect. The English-language versions of the Terms contain the binding terms, and any translations into other languages are for convenience only.

XIII. Arbitration, Class Waiver, and Waiver of Jury Trial

These Terms and the relationship between you and LIGHTHOUSE shall be governed by the laws of the state of Florida without regard to its conflict of law provisions. You and LIGHTHOUSE agree to submit to the personal and exclusive arbitration of any disputes relating to your use of the LIGHTHOUSE Services under the rules of the American Arbitration Association. Any such arbitration shall be conducted in Tampa, Florida.

You are giving up your right to have a trial by jury. You are giving up your right to serve as a representative or to participate as a member of a class of claimants in any lawsuit involving any such dispute. You must file any claim within one (1) year after such claim arose or it is forever barred.
